Terms of Sale

These Terms of Sale ("Terms") govern all purchases of materials from Vantix Bio ("Vantix Bio," "we," "us," or "our") through vantixbio.com (the "Site"). By placing an order, you ("Customer," "you") agree to these Terms in full. If you do not agree, do not purchase.

Research-use-only nature of all materials. All materials offered by Vantix Bio are supplied strictly as laboratory reference compounds for in-vitro research and analytical use only. They are not for human or veterinary use, and are not intended for any diagnostic, therapeutic, clinical, or consumptive purpose in humans or animals. They are not drugs, foods, cosmetics, dietary supplements, or medical devices, and have not been approved by the U.S. Food and Drug Administration for any such use.

1. Eligibility and Customer Representations

By purchasing, you represent and warrant that:

You are at least 21 years of age and have the legal capacity to enter into this agreement.
You are acquiring the materials solely for lawful laboratory research or analytical purposes, and not for resale for human or animal consumption.
You are qualified and equipped to handle, store, and dispose of research compounds safely and in accordance with all applicable laws and institutional requirements.
You will not use, administer, or distribute the materials for human or veterinary use, and you accept full responsibility for any use to which you put the materials.

2. No Medical or Use Guidance

Vantix Bio does not provide, and will not provide, dosing instructions, administration protocols, treatment guidance, or any representation regarding the use of the materials in humans or animals. Any information on the Site is provided for scientific and educational reference regarding the properties of the compounds and must not be construed as guidance for use in living subjects. You are solely responsible for determining the suitability of any material for your research and for designing and conducting that research lawfully.

3. Assumption of Risk and Customer Responsibility

You assume all risk and responsibility for the use, handling, storage, and disposal of materials purchased from Vantix Bio. You agree to comply with all applicable federal, state, local, and international laws and regulations governing the purchase, possession, handling, and use of research compounds in your jurisdiction. It is your responsibility to verify the legality of any material in your jurisdiction prior to ordering.

4. Disclaimer of Warranties

Except for any certificate of analysis or specification expressly provided for a given batch, the materials are supplied "as is" without warranties of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Vantix Bio does not warrant that the materials are suitable for any purpose beyond the laboratory research use for which they are supplied.

5. Limitation of Liability

To the maximum extent permitted by law, Vantix Bio and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss or injury arising from the misuse of the materials, including any use in or on humans or animals. In all cases, our total aggregate liability arising from or related to any order shall not exceed the amount you paid for the specific material giving rise to the claim. You agree to indemnify and hold harmless Vantix Bio and its owner from any claim arising out of your use, handling, or distribution of the materials in violation of these Terms.

6. Product Information and Availability

We make reasonable efforts to describe materials accurately, including third-party batch testing data where provided. We do not warrant that all descriptions are complete or error-free. Pricing and availability are subject to change without notice. We reserve the right to limit, refuse, or cancel any order at our discretion.

7. Orders, Pricing, and Payment

All prices are listed in U.S. dollars. Payment is processed by third-party payment processors; by purchasing you also agree to any applicable terms of those processors. We reserve the right to refuse or cancel any order, including where we suspect the materials are intended for a prohibited use.

8. Shipping, Returns, and Refunds

Shipping, return, and refund terms are set out in our Shipping & Refund Policy, which forms part of these Terms.

9. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in Santa Cruz County, California, and you consent to that venue.

10. Changes to These Terms

We may update these Terms at any time. The version in effect at the time of your order governs that order. Continued use of the Site after changes constitutes acceptance of the revised Terms.
